FGvW advises shareholders of MBG energy on the sale of 75 percent of shares to SPIE

FGvW advised the three shareholders of MBG energy GmbH, which specializes in the engineering, procurement and construction (EPC) of high-quality photovoltaic systems for business customers, on the sale of around 75 percent of their shares to SPIE Deutschland & Zentraleuropa GmbH, located in Ratingen, Germany. The SPIE parent company, which originates from France, is the independent European market leader for multi-technical services in the energy and communications sectors.

The management team of MBG energy, based in Berlin, consists of the three founders Julian Merz (CEO), Jens Gockel (CTO) and Enzo Simon (COO), who are joining SPIE together with their team of 47 to drive forward the further development of their company. They will remain in the company as minority shareholders. The complex transaction took place by way of a structured bidding process among several bidders from different countries.

The Solar Standard recently adopted as part of the EU Energy Performance of Buildings Directive requires photovoltaic systems to be installed on all new public and commercial buildings in future. With this acquisition, the originally Franch SPIE Group is acquiring the expertise to successfully serve this booming market and expects to benefit from the resulting synergies with their technical facility management branch thanks to MBG energy's know-how.

The shareholders of MBG energy received comprehensive legal advice on the sale of their shares from an interdisciplinary team of Friedrich Graf von Westphalen & Partner specializing in international M&A transactions led by Berlin Partner Dr Alexander Hartmann.
