FGvW advises Motherson on exclusive negotiations for the acquisition of Nexans autoelectric's wiring harness business

FGvW is advising Indian automotive supplier Motherson in exclusive negotiations on the acquisition of the entire wiring harness business of Nexans autoelectric GmbH in Germany with a total volume of 207 million euro (enterprise value).

Samvardhana Motherson International Limited (SAMIL) has entered into an agreement through its subsidiaries to acquire the entire wiring harness business of Nexans autoelectric GmbH from the publicly traded Nexans S.A. and its subsidiaries. Nexans and Motherson are now in exclusive negotiations to conclude the relevant agreements, which are still subject to approval by the antitrust authorities.

The Samvardhana Motherson Group, headquartered in Noida, India, is a globally operating, publicly listed specialist in design, engineering, manufacturing, and assembly, and ranks among the 15 largest automotive suppliers worldwide. With a diverse global customer base that includes almost all of the world's leading car manufacturers, the company supports its customers at over 425 locations in 44 countries on five continents. The company has diversified and also supports customers in non-automotive industries, including technology and industrial solutions, health and medical, aerospace, and logistics.

The autoelectric Group is a manufacturer of high-quality cable systems and supplies well-known manufacturers worldwide. The company has approximately 13,000 employees at 22 locations in 11 countries and generated sales of around 749 million euro in the 2024 calendar year.

With this acquisition, Motherson continues its series of acquisitions to strengthen its global presence and customer relationships. The transaction is expected to close in mid-2026.

Motherson received comprehensive legal advice during the negotiations from our interdisciplinary team specializing in international M&A transactions, led by partners Dr Stefan Lammel and Dr Jan Henning Martens.
