FGvW advises GEVITA on the sale of the operating company to Argentum and the operating properties to Aedifica

FGvW has advised the shareholders of the GEVITA Group, an established provider of long-term care and operator of nursing and senior living facilities in Germany, on the sale to the Argentum Group, a portfolio company of Lafayette Mittelstand Capital. The shareholders have thereby secured the group’s succession and the continued operation of its long-term care and support facilities.

In addition to the transfer of operations and the separate sale of additional assets from group companies to the buyer, the overall transaction also included the sale of the operational real estate to Aedifica SA/NV, a Belgian real estate company specializing in healthcare real estate in Europe. In addition, FGvW provided comprehensive advice to the GEVITA Group on the recently completed sale of the nursing and senior care home in Müllheim.

GEVITA’s care facilities, headquartered in Lörrach and Müllheim in southern Germany, serve approximately 300 residents and patients and have a history spanning nearly 33 years. Currently, the group employs approximately 270 staff members. Key areas of focus include inpatient care, assisted living, outpatient care, respite care facilities, and day care. The shareholders of the GEVITA Group have continuously developed the facilities – and in particular the care provided to residents at these locations – over the past few years, establishing GEVITA as one of the leading operators of senior living and nursing homes in the region.

To ensure long-term continuity in the operation of the care facilities, Aedifica SA/NV – a real estate investor specializing in healthcare real estate in Europe and a publicly traded REIT – was secured as the buyer of the operational property in Lörrach. An interdisciplinary M&A team at the law firm’s Freiburg office, led by Dr Till Böttcher and Dr Ron Fahlteich, provided comprehensive legal counsel to the shareholders of the GEVITA Group during the transaction.
