FGvW advises Motherson on the acquisition of Dr Schneider Group

FGvW has advised the Indian automotive supplier Motherson on the acquisition of the German automotive supplier Dr Schneider in a complex transaction structure comprising of several asset and share deals with a total volume of approximately EUR 118.3 million (Enterprise Value).

Samvardhana Motherson International Limited (SAMIL), through its wholly owned subsidiary Samvardhana Motherson Automotive Systems Group BV (SMRPBV), has entered into an agreement to acquire assets and shares of Dr Schneider Unternehmensgruppe from the insolvency administrator Joachim Exner.

Dr Schneider Group is a manufacturer of high-quality, innovative and integrated electronic polymer components and systems for vehicle interiors. The company is a technology leader in air vents and decorative interior polymer components with lighting and has a strong presence in premium vehicles. It employs approximately 4,500 people at seven sites in five countries (Germany, Spain, Poland, USA, China). The company reported sales of EUR 472 million for calendar year 2022, but was forced to file for insolvency in September 2022 due to unsuccessful operational and financial restructuring.

Motherson is a leading Tier 1 automotive supplier with more than USD 10 billion in sales and more than 150,000 employees worldwide. With this acquisition, Motherson continues its series of acquisitions to strengthen its global presence and customer relationships.

The total value of the transaction is approximately EUR 118.3 million. Closing is expected for the end of Q3 / beginning of Q4 of the current calendar year, subject to the necessary approval by the EU Commission.

Motherson was legally advised on the acquisition by an interdisciplinary team specializing in M&A transactions from FGvW's Freiburg office, led by partners Dr Stefan Lammel and Dr Jan Henning Martens.
