FGvW advises Bentley Endovascular Group on pre-IPO with Private Equity companies

FGvW has advised German MedTech company Bentley InnoMed GmbH („Bentley“), on the entry of new investors. The investment companies Keensight Capital, A.P. Møller Holding and Bonit Capital acquire a minority stake, while the founding family remains the majority shareholder. This investment marks an important milestone in Bentley's international expansion and the preparation of an IPO of Bentley Endovascular Group AB on the Swedish stock exchange Nasdaq Stockholm.

Bentley InnoMed GmbH is an innovative specialist in the development, manufacture and distribution of products for the minimally invasive treatment of vascular diseases based in Hechingen, Germany. The firm was founded by two medical entrepreneurs, Lars Sunnanväder and Miko Obradovic. Based in Hechingen, Germany, the company has grown significantly since the launch of its first product in 2012 and now maintains a global distribution network in over 80 countries.

Keensight Capital is one of Europe's leading growth buyout firms, supporting entrepreneurs in the technology and healthcare sectors execute their growth strategies.

A.P. Møller Holding is a privately held investment company based in Denmark that manages approximately USD 30 billion and invests in companies with a positive impact on society.

Bonit Capital is a Swedish family-owned investment company focused on the healthcare sector.

Bentley was comprehensively advised on German and international law by a team specializing on M&A and private equity transactions led by partner Dr Meike Kapp-Schwoerer. The Stockholm based law firm Delphi advised Bentley on Swedish aspects of the transaction. The lead financial advisor for the transaction and the planned IPO is the investment bank Carlsquare. In addition, further advisors were involved on the tax, financial and communications side.
