FGvW advises global energy technology company Enphase Energy on acquisition of software specialist GreenCom Networks
Our M&A team, alongside US law firm Arnold & Porter, has advised California-based global energy technology company Enphase Energy, Inc. on its acquisition of all shares in GreenCom Networks AG. The transaction is subject to customary closing conditions and expected to close in the fourth quarter of 2022.
GreenCom Networks is an energy Internet of Things (IoT) company headquartered in Munich, Germany, with a branch in the Sophia Antipolis Technology and Science Park, France. It provides IoT software solutions for customers to connect and manage a wide range distributed energy devices within the home The company’s technology facilitates a convergence of sectors such as mobility, heating, and renewable energy, often referred to as sector convergence or sector coupling, to help achieve full home electrification.
Enphase Energy, a NASDAQ-listed global energy technology company based in Fremont, California, is the world’s leading supplier of microinverter-based solar and battery systems. The company designs and manufactures solar microinverters, battery storage, electric vehicle charging stations, and software solutions primarily for residential customers. Enphase has shipped more than 48 million microinverter, and over 2.5 million Enphase-based systems are in use in more than 140 countries. The company was founded in 2006 and has more than 2500 employees worldwide. With the acquisition, Enphase Energy aims to further expand into the fast-growing European renewable energy market.
As in other acquisitions, Enphase Energy was advised by Michael Penney of Arnold & Porter, supported in this transaction by a 10-person M&A team from Friedrich Graf von Westphalen & Partner led by partner Annette Bödeker. In addition, the Paris office of Bird & Bird advised with regard to the French branch of the target company.
