FGvW advises start-up findbox on joining the French SES-imagotag

Store Electronic Systems S.A. (SES-imagotag), leading provider worldwide of Electronic Shelf Labels (ESL) in the retail market, will in the next three years take over all shares in findbox GmbH, a German start-up company that specialises in innovative business solutions. On 12 September 2016, the parties agreed on a strategic and financial partnership as well as the acquisition of the majority share by SES.

findbox GmbH and its founders were provided legal advice in the transaction by an M&A team from our Freiburg office led by partner Dr Barbara Mayer. The FGvW team worked together with Jean-Christophe Beaury from the Parisian law firm Racine. SES-imagotag was provided with legal advice for the transaction by White & Case.

findbox GmbH was founded in 2012 by entrepreneurs Michael Unmüßig and Thomas Schwarz in Ettenheim (Baden-Württemberg). The company specialises in the development, manufacture and sale of blinking electronic shelf labels as well as image recognition solutions. The findbox technology detects items (such as an ink cartridge or a light bulb) in a matter of seconds; the software analyses the item detected and makes suggestions to the customer. The blinking electronic shelf label (ESL) shows the exact position of the item on the shelf. findbox solutions have already been installed in more than 200 shops of some larger retail chains in Germany, the UK, France and the USA.

SES-imagotag is a specialist in digital solutions for retail outlets and is a global market leader for electronic labelling systems. The group develops and sells all the components of its solutions (software, radio equipment, labels and holders). The products and services offered by SES-imagotag allow retailers to manage their stocks in real time, improve warehouse productivity and to develop new contactless applications for their customers.
