Friedrich Graf von Westphalen & Partner advises British RSK Group in relation to German Law Aspects of a Long-Term Investment Facility

Friedrich Graf von Westphalen & Partner has advised British environmental health, safety and engineering services provider and consultancy RSK Group in relation to German Law Aspects of a Long-Term Investment Facility. The advice extended to security agreements and German law aspects in the facility agreement, which was governed by English laws. The deal was closed in the end of July and included the major international subsidiaries of RSK in several European countries and Arabia, which provided securities to Permira and acceded to the facility agreement. Further, certain structural changes were required in connection with this transaction and also advised by Friedrich Graf von Westphalen & Partner in relation to RSK’s German subsidiary RSK Alenco GmbH.

The RSK Group has more than 1,000 employees with offices in over 20 countries, with a turnover of almost £100 million. It secured the £ 33 million long-term investment facility from Permira in order to use the funding to repay existing debt and fund the next phase of the group’s international growth.
