Friedrich Graf von Westphalen & Partner advises French AUSY Group in relation to Acquisitions in Germany

The listed French AUSY group is continuing its international expansion, thereby also strengthening its position in the German market. In 2014, AUSY did not only acquire the entirety of the shares in PENTASYS AG, Munich, but, in a further step, also acquired all of the shares in Vision iT media GmbH, Stuttgart, from Belgian Vision IT Group S.A. AUSY was advised by the Freiburg corporate team of Friedrich Graf von Westphalen & Partner in relation to both transactions.

AUSY is a leading IT consulting business in the high-tech area. One of its focuses is the provision of outsourced research and development services for technology businesses. AUSY is currently present in France, Germany, Belgium, Luxembourg, Great Britain, Romania, Spain, Tunisia, Sweden and India, and has generated revenues in the amount of 161.8 million Euros in the six-month period ending on 30 June 2014.

PENTASYS AG has its registered office in Munich, conducts business in Frankfurt am Main and Cologne, and has a subsidiary - PENTASYS SAS - in Paris. PENTASYS AG is a consulting and systems business specialised in the optimisation of business processes by providing tailor-made IT-applications. PENTASYS was founded in 1995, and currently has more than 350 employees. In 2013, it generated revenues in the amount of 42 million Euros.

The Vision IT group specialises in software development for the automobile industry. The Stuttgart business unit, which was transferred to AUSY, generated revenues in an amount of 8 million Euros with a two-digit profit margin in 2013, employing more than 50 persons.

Friedrich Graf von Westphalen & Partner advised the AUSY group in relation to both transactions. The corporate team headed by Gerhard Manz has on several previous occasions already advised AUSY on business acquisitions in Germany.
