Friedrich Graf von Westphalen & Partner advises GEZE GmbH in relation to Sale of Business of a South African GEZE Group Affiliate

Friedrich Graf von Westphalen & Partner (“FGvW”) has advised GEZE GmbH in relation to the sale by its South African affiliate, DCLSA Distributors (Pty) Ltd, of its business of selling and distributing a comprehensive range of locks, locksets and sundry ironmongery products, to South African company MacNeil Profiles (Pty) Ltd. The parties have agreed to treat the purchase price in the present matter confidentially.

The MacNeil group was established in 1993, and has since developed into a reputable manufacturer, wholesaler and distributor of building supplies from bathroom fittings and sanitary ware, brassware and plumbing fixtures to timber doors, decking and related products in South Africa. MacNeil’s management team is currently spearheading MacNeil’s expansion into almost every major city in South Africa, with a view to extending beyond its borders in the near future.
GEZE GmbH is one of the world's leading developers and manufacturers of construction systems for door, window and safety technology. GEZE offers a comprehensive range of products including automatic door systems and door technology, glass systems, smoke and heat extraction systems, safety technology as well as window and ventilation technology. As a GEZE group company, DCLSA offered complete ironmongery solutions for every South African building, selling its range of products under the DCLSA brand name.

GEZE GmbH has been a long-standing client of FGvW. The main point of contact is Tobias Lenz of FGvW’s Cologne office, who regularly advises GEZE GmbH on, amongst others, company and commercial law matters.
