FGvW advises the Hellma Group in Relation to its Acquisition of Axiom Analytical, Inc.

Effective as of 1 March 2016, the Hellma Group, a leading manufacturer of optical solutions and components for industry, research and analytical labs, has acquired Axiom Analytical Inc. with seat in Tustin, near Los Angeles. The acquisition has created a worldwide leading provider of optical precision modules for online spectroscopy in the process industry.

The transaction enables Hellma to broaden its scope to include new innovative products for the analytical sector. The founders of Axiom Analytical Inc., Mike Doyle and Norm Jennings will manage the integration process together with their team. They act as advisors for the newly founded Hellma Axiom Inc. The seat of the company in Tustin, USA will remain.

Hellma was founded in 1922, has offices in Müllheim/Baden and Jena, as well as numerous distribution companies worldwide and is presently a global market leader for glass- and quartz glass cuvettes. Furthermore, Hellma belongs to the leading providers of fibre-optic analytical systems and optical components for laser technology. The group consists of the sectors Hellma Analytics (www.hellma-analytics.com), Hellma Optics (www.hellma-optics.com) and Hellma Materials (www.hellma-materials.com). The involved lawyers were: Barbara Mayer (lead), Jan Henning Martens (senior associate, M&A), Morton Douglas (partner, IP), as well as Siegmar Pohl from the San Francisco office of Caroll, Burdick & McDonough (Squire Patton Boggs since March 2016). He also supervised the creation of Hellma Axiom, Inc. as acquisition vehicle.
